1. Agreement to Terms
Welcome to Citchenware.com (the “Site”). These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “the user”), and Hextto Digital Limited (“we,” “us,” or “our”), concerning your access to and use of the Site as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto.
By creating an account, accessing the Site, or purchasing products from us, you acknowledge that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and you must discontinue use immediately.
2. Privacy Policy
Our Privacy Policy, which details how we collect and use your personal information, is an integral part of these Terms. Please review our Privacy Policy carefully. By using the Site, you agree to be bound by our Privacy Policy, which is incorporated into these Terms.
3. User Accounts and Conduct
A. Account Responsibility: You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.
B. Prohibited Conduct: You agree not to use the Site for any unlawful purpose or to engage in any of the following prohibited activities:

Using any automated system, such as “bots” or “scrapers,” to access the Site for any purpose without our express written permission.

Attempting to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Site.

Uploading invalid data, viruses, worms, or other software agents (malware) through the Site.

Attempting to gain unauthorized access to our systems or engaging in any activity that disrupts, diminishes the quality of, or interferes with the performance of the Site.
4. Terms of Sale
A. Order Acceptance: We reserve the right to refuse or cancel any order for any reason. An order is not considered accepted, and a contract for sale is not formed, until the moment we dispatch the product(s) to you. Any confirmation you receive from us prior to shipment (e.g., an “Order Confirmation” email) is simply an acknowledgment that we have received your order and does not constitute acceptance of your order.
B. Product Descriptions, Pricing, and Availability:

Accuracy: We strive to ensure that all information on the Site, including product descriptions, photographs, and pricing, is as accurate as possible. However, we do not warrant that product descriptions or other content are entirely accurate, complete, reliable, current, or error-free. The actual color of a product you see will depend on your computer system, and we cannot guarantee that your computer will accurately display such colors.

Pricing Errors: In the event a product is listed at an incorrect price due to a typographical or other error, we shall have the right to refuse or cancel any orders placed for the product listed at the incorrect price. We reserve this right even if the order has been confirmed and your credit card has been charged. If your credit card has already been charged for the purchase and your order is canceled, we will issue a credit to your credit card account in the amount of the incorrect price.

Availability: All products are subject to availability. If an item you ordered is out of stock, we will contact you to confirm whether you would prefer to: (a) cancel the item and receive a refund; (b) select a substitute product; or (c) place the item on backorder and wait for it to be restocked.
C. Payment: All payments are processed through our third-party payment processor, Stripe. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site.
D. Shipping, Title, and Risk of Loss: All contracts for the shipment of products are “shipping contracts.” This means that the title to and risk of loss for the items pass to you upon our delivery of the items to the shipping carrier. We are not responsible for any products lost or damaged during shipping.
E. Taxes and Import Duties: You are the “importer of record.” You are solely responsible for any and all customs duties, import taxes, brokerage fees, VAT, or other fees or taxes levied by your country’s customs authorities. We are not responsible for these charges and they are not included in the cost of the product or our shipping fee.
F. Returns and Refunds Policy:

Eligibility: You may initiate a return for most items within 30 days of receipt of the product for a full refund.

Non-Returnable Items: The following items are not eligible for return: “final sale” items, custom-engraved products, gift cards, free gifts, and any item clearly marked as non-returnable on its product page.

Process: To initiate a return, you must first contact us at [email protected] or via Facebook Messenger to receive a return authorization. The item must be returned to our designated office in Hong Kong for a refund to be processed.

Return Shipping Costs: We will reimburse you for the cost of return shipping under the following conditions: (1) you must use your local postal service (not a premium courier like FedEx or DHL unless authorized); (2) you must provide us with a valid payment receipt for the shipping cost; and (3) reimbursement will only be issued after the returned item has been received and inspected at our Hong Kong office. The reimbursement for the shipping cost will be sent separately via PayPal or Wise.com.

Refund Method: The refund for the returned product itself will be issued to your original method of payment (e.g., your credit card via Stripe).
5. Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
6. User-Generated Content
If you post reviews, comments, photos, or other content on the Site (“User Content”), you grant Hextto Digital Limited a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media. You grant us the right to use the name that you submit in connection with such content. You represent and warrant that you own or otherwise control all of the rights to the content that you post.
7. Disclaimer of Warranties; Limitation of Liability
The Site and all products and services delivered to you through the Site are (except as expressly stated by us) provided “as is” and “as available” for your use, without any representation, warranties, or conditions of any kind, either express or implied.
In no case shall Hextto Digital Limited, our directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, arising from your use of the Site or any products procured using the Site.
8. Governing Law and Dispute Resolution
A. Governing Law: These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (SAR).
B. Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration in Hong Kong SAR. The arbitration shall be conducted in English. The decision of the arbitrator shall be final and binding on both parties. By agreeing to these terms, you waive your right to a trial by jury or to participate in a class action lawsuit.
9. General Provisions
A. Severability: If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms.
B. Entire Agreement: These Terms and any policies or operating rules posted by us on this Site constitute the entire agreement and understanding between you and us and govern your use of the Service.
